Accredited Investor
Based on the current U.S. Securities and Exchange Commission (SEC) regulations under Jumpstart Our Business Startups (JOBS) Act, Reg D 506c and Reg A+ Private Placements are available only to accredited investors. An accredited investor is defined under rules set by the SEC.

What is an “accredited investor”?

Per the SEC’s rules, an accredited investor is a person (whether an individual or an entity) that meets
at least one of the following criteria:

✓ Has an individual net worth, or joint net worth with their spouse that exceeds $1 million
(including any IRAs, 401Ks and other retirement accounts, but excluding the net value of their
primary residence); or,

✓ Is an individual with income of over $200,000 in each of the last two years, or joint income with
their spouse exceeding $300,000 in those years, and they reasonably expect at least the same
this year; or,

✓ Is a bank, insurance company, pension fund, or other registered investment company with assets
exceeding $5 million; or,

✓ Is a corporation, partnership, or charitable organization with at least $5 million in assets; or,

✓ Is a business in which all the equity owners are accredited investors; or,

✓ Is an employee benefit plan, within the meaning of the Employee Retirement Income Security
Act, if a bank, insurance company, or registered investment adviser makes the investment decisions,
or if the plan has total assets in excess of $5 million; or,

✓ Is a trust with assets in excess of $5 million, not specifically formed to acquire the securities
offered, whose purchases a sophisticated investor makes.

Under Rule 506(c), all the investors in the offering are required to be accredited investors; and
The company needs to take reasonable steps to verify that its investors are accredited investors, which could include reviewing documentation, such as W-2s, tax returns, bank and brokerage statements, credit reports and the like.  iLIFE Capital Portal uses a third-party legal firm for verification and the process is automated within the Portal.
